Terms of Service
1. Agreement
These Terms of Service ("Terms") govern your use of decade-energy.org and the Decade Energy fleet charging optimization platform (collectively, the "Service") operated by Decade Energy B.V. ("the Company") (Johan Huizingalaan 763, 1097 DN Amsterdam, Netherlands). By using the Service you accept these Terms. If you do not accept them, do not use the Service.
The Decade Energy platform is a B2B software service designed for logistics operators, fleet managers, and organizations managing electric vehicle depots. If you are accessing the Service on behalf of a company or legal entity, you represent that you have authority to bind that entity to these Terms.
If you are a consumer (a natural person acting outside your trade, business, craft, or profession), nothing in these Terms limits your statutory consumer rights under the laws of your country of residence.
2. Use of the Service
- You must be at least 18 years old or have parental consent to use the Service.
- You agree not to use the Service for unlawful purposes, to interfere with or disrupt its operation, or to attempt unauthorized access to any system, data, or account.
- You may not copy, scrape, reverse-engineer, or attempt to extract the source code of the Service except as expressly permitted by mandatory law.
- Fleet operators are responsible for ensuring that any vehicle telematics data, departure schedules, or depot configuration data they submit to the platform has been collected in compliance with applicable law, including any obligations to inform drivers or employees about data collection.
3. Intellectual Property
The Service, including the AI scheduling algorithm, the optimization engine, all software, documentation, and content on decade-energy.org, is owned by the Company or its licensors and is protected by European Union and international intellectual-property law. You receive a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose during the term of your subscription or trial agreement. No other rights are granted.
4. Customer Data and Fleet Data
You are responsible for any content, data, or configurations you submit to the platform. You represent that you have the necessary rights and authorizations to submit such data.
You grant the Company a limited licence to use, store, and process the data you submit solely to provide and improve the Service for your account. The Company does not use your fleet charging data, vehicle telematics records, or depot configuration to train AI or machine-learning models for purposes other than your own account without your explicit written consent.
Each party's obligations regarding personal data within customer-submitted fleet data are governed by the Data Processing Agreement made available upon request at [email protected], which forms part of the commercial agreement between the parties.
5. Right of Withdrawal (Consumer Contracts)
Where you enter into a paid contract with the Company as a consumer at distance, you have the right to withdraw within 14 calendar days under the EU Consumer Rights Directive (2011/83/EU) without giving any reason. To exercise the right, contact us at [email protected] with a clear written statement of withdrawal before the 14-day period expires. The Company will refund all payments received within 14 days of receiving the withdrawal.
The Decade Energy platform is primarily sold as a B2B subscription; this clause applies if and to the extent a paid contract is entered into by an individual consumer.
6. Disclaimers and Statutory Guarantees
The Service is provided on an "as is" basis. The charging schedules generated by the AI optimizer are recommendations based on the tariff and fleet data you provide. Actual electricity cost savings depend on your utility contract, charger hardware, and depot operations. The Company does not guarantee specific cost-reduction outcomes.
Nothing in these Terms excludes or limits the Company's liability for (a) death or personal injury caused by negligence, (b) fraud or fraudulent misrepresentation, or (c) any other liability that cannot be excluded or limited under mandatory Dutch or EU law. Statutory guarantees applicable to consumers under EU law are not affected.
7. Limitation of Liability
To the extent permitted by law, the Company's total aggregate liability for any claim arising from or related to the Service will not exceed the greater of EUR 100 or the total subscription fees paid by you in the three calendar months preceding the event giving rise to the claim, except for liability that cannot be limited under mandatory law (see Section 6).
8. Termination
The Company may suspend or terminate your access to the Service for material or repeated breach of these Terms, with or without notice where the breach is incapable of remedy. For remediable breaches, the Company will give written notice and a reasonable opportunity to cure before suspension. Sections that by their nature survive termination will continue to apply: Sections 3, 4, 6, 7, 9, and 10.
9. Governing Law and Jurisdiction
These Terms are governed by the laws of the Netherlands.
The courts of Amsterdam, Netherlands have exclusive jurisdiction over disputes arising out of or in connection with these Terms, subject to the mandatory consumer-protection rules of your country of residence (Articles 17 to 19 of Regulation (EU) 1215/2012 on jurisdiction in consumer contracts). If you are a consumer, you may also bring proceedings before the courts of your country of residence, and the Company may only sue you in those courts.
The European Commission provides an Online Dispute Resolution platform at ec.europa.eu/consumers/odr. The Company does not commit to using ODR but will cooperate where legally required.
10. Changes to These Terms
The Company may update these Terms from time to time. Material changes will be posted with a new "Last updated" date at the top of this page. For customers with active subscriptions, material changes will be communicated by email at least 30 days before they take effect.
